Terms of Service

1. Agreement to Terms

By accessing or using any services provided by Synoptic Foundry LLC ("Company," "we," "us," or "our"), including but not limited to the AWS Savings App and any related applications, websites, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

2. Use of Services

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.2 Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

2.3 Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer or attempt to extract source code

3. Intellectual Property

3.1 Our Property

All content, features, and functionality of the Services, including but not limited to software, text, images, graphics, logos, and trademarks, are owned by Synoptic Foundry LLC or its licensors and are protected by intellectual property laws.

3.2 Your Content

You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving our Services.

4. AWS Savings App Specific Terms

4.1 Service Description

The AWS Savings App provides cloud cost optimization recommendations based on analysis of your infrastructure. We do not guarantee specific savings amounts, as results depend on implementation and individual circumstances.

4.2 Pricing Model

Payment is based on a percentage of realized savings. Detailed pricing terms are provided in your service agreement. You are only charged for actual savings achieved through our recommendations.

4.3 Data Access

You grant us read-only access to your cloud infrastructure data solely for analysis purposes. We will not modify your infrastructure without explicit authorization.

5. Payment Terms

For paid services:

• Payments are processed monthly based on calculated savings
• All fees are in US dollars unless otherwise specified
• You are responsible for all applicable taxes
• Refunds are provided only as required by law or as specified in your agreement

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNOPTIC FOUNDRY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

7. Indemnification

You agree to indemnify and hold harmless Synoptic Foundry LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Services or violation of these Terms.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in [Your County, State].

11. Changes to Terms
